It is not an offer to sell or a solicitation to buy any security, it does not recommend any fund, firm, or transaction, and a profile appearing here is neither an endorsement nor a rating. Reading the site, or writing to us about it, does not create an attorney-client relationship — that begins only when an engagement is confirmed in writing.

What the record is, and what it warrants

Every firm profile and every transaction here carries at least one source, shown on the page with the date we retrieved it. The schema enforces that: an entry without a source cannot be published. No field is estimated. Where an amount was not disclosed it is omitted rather than recorded as zero, and any total on the site says so and reports what it excluded.

That is a real standard, and it is a great deal more than most databases of this kind offer. It is not a warranty. Most of what is recorded here derives from filings made by the companies and funds themselves — a filing can be wrong, amended, or superseded, and a Form D in particular reports that securities were sold under an exemption and very little else. Where the site says only that, it is because that is genuinely all the document establishes.

The site is provided as is, without warranty of any kind. Verify anything you intend to rely on against the underlying document, which is linked from the entry precisely so that you can.

No liability

To the fullest extent the law allows, Madgett Law, LLC is not liable for any loss arising from use of, or reliance on, this site. Committing capital, or declining to, on the strength of a published summary rather than the filing behind it is a decision you make.

Using the directory and the deal record

Read it, print it, quote it, and link to it freely — including in research, a memo, or a pitch. Attribution to Northern Dealbook is appreciated and, where you are quoting a figure, is the honest thing to do so your own reader can trace it back.

Two limits. Do not republish the directory or the deal record in substantial part as a competing compilation, and do not scrape the site to build one. The underlying filings are public and you are welcome to go and get them yourself; the work of finding, checking, and dating them is what belongs to us. The text, design, and code of the site are the property of Madgett Law, LLC. Statutory text quoted anywhere on the site is the law and belongs to nobody.

Corrections and removal

We would rather be corrected than be wrong. If an entry about you or your firm is inaccurate, write to [email protected] and we will fix it and update its verification date. If you would prefer not to be listed, say so and the entry comes down; we do not require a reason. See Submit or correct an entry.

Editorial independence

Listing is free, cannot be purchased, and is not conditioned on any business relationship. Some firms and companies covered here are, have been, or may become clients of Madgett Law, LLC. That is disclosed in the footer of every page and it does not change what gets published or how it is described. The methodology sets out what is covered and what is not.

Governing law

These terms are governed by the law of the State of Minnesota, without regard to its conflict-of-laws rules.
